What is a Limited Liability Partnership?

An LLP is a company structure used by architects, accountants and other businesses that are designed as partnerships. An LLP is similar to a limited company, but an LLP offers three unique benefits: it is not subject to corporation tax, it can have an unlimited number of members and it is not subject to the rules of the Companies Act of 2006.

How many people do I need to register an LLP?

If you would like to register an LLP through Companies House, you are required to have at least two members at the point of incorporation. However, there is no limit to the number of partners, or members, your LLP can have.

Do I need a registered office address?

All LLPs are required by law to have a registered office address. This can be your home address, but it will appear on the public register and on all partnership documents. The majority of business owners prefer to keep their personal address private, so they opt for a professional registered office address. If you wold like to use Trust Formations’ prominent Glasgow office address as your registered office, simply add this service onto your package during checkout.

What is a Partnership Agreement?

Most LLPs draft a partnership agreement prior to incorporation through Companies House. This is not a legal requirement, but most LLP owners find it useful because it helps to set boundaries between owners in the event of a disagreement. This agreement sets out the values of the business, outlines corporate governance policy and states the roles of each.

Can this package be used to form a limited company?

Our LLP Package cannot be used to form a company limited by shares. It can only be used to form a Limited Liability Partnership (LLP). If you would like to form a company limited by shares, Trust Formations offers a package to cater specifically to your needs.
